Refinancing or Prepayment of the Mortgage Loan. Neither Borrower nor Mortgage Borrower shall be required to obtain the consent of Lender to refinance the Mortgage Loan, provided that the Loan shall have been (or shall simultaneously be) paid in full in accordance with the terms of this Agreement. Borrower shall cause Mortgage Borrower to obtain the prior written consent of Lender to enter into any other refinancing of the Mortgage Loan.
Refinancing or Prepayment of the Mortgage Loan. Neither Borrower nor Owner shall make any partial or full prepayments of amounts owing under the Mortgage Loan (other than any partial or full prepayments permitted by and made in accordance with the terms of the Mortgage Loan Agreement and this Agreement) or refinance the Mortgage Loan without the prior written consent of Lender, unless such refinancing results in the concurrent payment in full of the Debt.
Refinancing or Prepayment of the Mortgage Loan. Borrowers or Mortgage Borrowers shall not be required to obtain the consent of Lender to refinance the Mortgage Loan, provided that the Loan shall have been (or shall simultaneously be) paid in full in accordance with the terms of this Agreement (including any Spread Maintenance Premiums and other amounts due and payable to Lender under the Loan Documents). Borrowers shall cause Mortgage Borrowers to obtain the prior written consent of Lender to enter into any other refinancing of the Mortgage Loan which consent shall not be unreasonably withheld, conditioned or delayed.
Refinancing or Prepayment of the Mortgage Loan. Except as expressly permitted by the Mortgage Loan Documents, Borrower shall not make or permit to be made any partial or full prepayment of amounts owing under the Mortgage Loan or any refinancing of the Mortgage Loan without the prior written consent of Lender. Without limiting the foregoing, any sums that would otherwise be payable to Mortgage Borrower or distributable to Borrower in connection with the refinancing or other repayment of the Mortgage Loan (including any refund of reserves and escrows on deposit with Mortgage Lender) shall be immediately remitted by Borrower to Lender up to the amount necessary to fully repay the Indebtedness.
Refinancing or Prepayment of the Mortgage Loan. Except as required by the Mortgage Loan Documents, Borrower shall not make or permit to be made (whether by Mortgage Borrower or any other Person) any partial or full prepayment of amounts owing under the Mortgage Loan or any refinancing or defeasance of the Mortgage Loan without the prior written consent of Agent, which consent may be granted or withheld by Agent in its sole and absolute discretion; provided, however, that Borrower may make or permit to be made by Mortgage Borrower (i) a prepayment in full of all amounts owing under the Mortgage Loan so long as, simultaneously therewith, Borrower prepays in full the entire outstanding principal balance of the Loan and all interest accrued thereon, together with any other amounts payable under the Loan Documents, and (ii) a partial prepayment of amounts owing under the Mortgage Loan in connection with the extension of the term of the Mortgage Loan as permitted by the Mortgage Loan Documents. Without limiting the foregoing, any sums that would otherwise be payable to Mortgage Borrower or distributable to Borrower in connection with the refinancing or other repayment of the Mortgage Loan (including any refund of reserves and escrows on deposit with Mortgage Lender) shall be promptly, and, in any event, within one (1) Business Day, remitted by Borrower to Lender up to the amount necessary to fully repay the Debt.
Refinancing or Prepayment of the Mortgage Loan. Borrower shall not consent to or permit a refinancing of the Mortgage Loan without Lender’s prior written consent, as determined in Lender’s discretion.

Other than in connection with a prepayment of the Mortgage Loan pursuant to Section 2.5(a), Borrower shall not make or permit to be made (i) any partial or full prepayment of amounts owing under the Mortgage Loan without the prior written consent of Administrative Agent or (ii) any refinancing of the Mortgage Loan without the prior written consent of Administrative Agent as to both the identity of the refinancing lender and any intercreditor agreement entered into in connection therewith, in each case as to clause (i) and (ii), not to be unreasonably withheld, delayed or conditioned.

Notwithstanding anything in this Agreement to the contrary, neither Borrower nor Mortgage Borrower shall be required to obtain the consent of Lender to refinance the Mortgage Loan, provided that (i) as of the date of the refinancing of the Mortgage Loan, the Loan is prepayable under the terms of this Agreement, and (ii) the Loan shall have been (or shall simultaneously be) paid in full (including any prepayment premiums and other amounts due and payable to Lender under the Loan Documents) to the extent permitted by this Agreement. Borrower shall cause Mortgage Borrower to obtain the prior written consent of Lender to enter into any other refinancing of the Mortgage Loan.
