Consent of Administrative Agent. No amendment, waiver or consent described in clause (a) of this Section 9.12 shall, without the written consent of the Administrative Agent (in addition to the Lenders required above):
(i) affect the rights or duties of the Administrative Agent or Collateral Agent under this Agreement or any other Financing Document; or
(ii) affect the Available Borrowing Base, Appendix 1, Appendix 2, Appendix 3, any provision relating to the Available Borrowing Base, Appendix 1, Appendix 2 or Appendix 3, or any related definition under this Agreement or any other Financing Document.
Consent of Administrative Agent. Unless otherwise specified in this Article V, any consent or approval required from the Facility Agent shall be provided upon the instruction of the Required Lenders.
Consent of Administrative Agent. By its execution hereof, Administrative Agent consents to (i) the increase in the aggregate Revolver Commitments by the amount of $25,000,000, (ii) the new allocations of the Revolver Commitment as set forth on Schedule B to this Amendment, which Schedule B replaces the Schedule B to the Credit Agreement as of the date of this Amendment and (iii) the establishment of the date hereof as the Commitment Increase Date.
Consent of Administrative Agent. In addition to the consents described in Subsections 15.10.1 and 15.10.2, no amendment to Article 15 of this Credit Agreement may be made without the prior written consent of the Administrative Agent.
Consent of Administrative Agent. The consent of Administrative Agent (not to be unreasonably withheld or delayed) and the Borrower (not to be unreasonably withheld or delayed, and provided that no Event of Default shall have occurred and be continuing) shall be required for an assignment of any or part of a Lender’s Commitment, except an assignment to a Lender, an Affiliate of a Lender or an Approved Fund.
Consent of Administrative Agent. The Administrative Agent hereby consents to the foregoing Assignment. The Company hereby consents to the foregoing Assignment.
Consent of Administrative Agent. SunTrust, as Administrative Agent, executes this Agreement to evidence its consent to the modifications effected hereby; provided, however, that such consent shall neither be nor be deemed to be a consent to, or a waiver of the necessity of obtaining the consent of the Administrative Agent to, any future modification.
Consent of Administrative Agent. Subject to the satisfaction of the conditions set forth in Section 6 below and in reliance on the representations and warranties set forth in Section 4, in accordance with Section 7.01(l) of the Note Agreement, the Administrative Agent hereby consents to the increase of the maximum stated principal amount of the Indebtedness under the Wachovia Facility from the amount of $150,000,000 to the amount of up to $200,000,000 (it being understood and agreed that such maximum stated principal amount shall initially be increased from $150,000,000 to $175,000,000 and may thereafter be further increased in one or more increments to an amount not to exceed $200,000,000 in the manner contemplated by the documentation executed on or about the date hereof governing the Wachovia Facility without the need for any further consent of the Administrative Agent or the Holders).
Consent of Administrative Agent. Pursuant to Sections 2.16(c), 2.16(e) and 2.16(f) of the Original Credit Agreement, the Administrative Agent hereby consents, acknowledges and agrees to the terms of this Agreement.
Consent of Administrative Agent. By its execution hereof, Administrative Agent consents to (i) the increase in the aggregate Revolving Loan Commitments by the amount of $40,000,000 and (ii) the joinder of the New Lender as a Lender under the Credit Agreement with a Revolving Loan Commitment of $40,000,000 set forth on Schedule 2.01 hereto.
