Common use of Refinancing Clause in Contracts

Refinancing. Borrower shall not consent to or permit a refinancing of the Mortgage Loan or Senior Mezzanine Loan unless it obtains the prior consent of Lender, unless the Loan shall be paid in full in connection with such refinancing in accordance with this Agreement. Borrower shall not consent to or permit a prepayment in full or in part of the Mortgage Loan or Senior Mezzanine Loan unless it obtains the prior consent of Lender, unless the Loan shall likewise be prepaid (in the same proportion, in the case of any partial prepayment) in accordance with this Agreement.

Refinancing. Borrower shall not consent to or permit a refinancing of the Mortgage Loan or Senior any Other Mezzanine Loan (other than in connection with the simultaneous refinancing of the Loan, the Mortgage Loan and each of the Other Mezzanine Loans in their entirety and in accordance with the terms and provisions of the Loan Documents, the Mortgage Loan Documents and the Other Mezzanine Loan Documents, respectively), unless it obtains the prior consent of Lender, unless the Loan shall which consent may be paid given or withheld by Lender in full in connection with such refinancing in accordance with this Agreement.
