Common use of Refund Upon Termination Clause in Contracts

Refund Upon Termination. In the event that the Court does not enter the Final Approval Order and Final Judgment or if for any other reason final approval of the Settlement does not occur, is successfully objected to, or successfully challenged on appeal, or the Effective Date is not reached, the remaining Settlement Fund (including accrued interest), less (a) any administration or notice expenses actually incurred, and (b) any amounts and taxes incurred or due and owing and payable from the Settlement Fund in accordance with this Settlement Agreement, shall be refunded to Google.
