Regarding Agent. (a) The Company hereby appoints Computershare Inc. as the Paying Agent hereunder and under and for purposes of each other Note Document to which the Paying Agent is a party, and hereby authorizes the Paying Agent to act on behalf of the Company in accordance with the terms thereof. Notwithstanding any provision to the contrary elsewhere in the Note Documents, the Paying Agent shall not have any duties or responsibilities, except those expressly set forth herein, or in any other Note Document to which the Paying Agent is a party, and shall not have any fiduciary relationship with any Person, and no implied covenants, functions, responsibilities, duties, obligations or liabilities shall be read into this Agreement or any other Note Document or otherwise exist against the Paying Agent.
