Regarding the Higher Education Act and the Financed Student Loans. Each of the Trust and the Trust Eligible Lender Trustee shall, both before and after each Closing Date, take all such action, or refrain from taking such action, as is necessary to comply with the requirements of the Higher Education Act, so that the receipt of Special Allowance Payments and Interest Subsidy Payments, if applicable, with respect to the Financed Student Loans will not be adversely affected.
