Regarding the merger contribution that the contributions do not include any real property assets or rights; – that the contributed assets are not subject to any pledge, privilege, seizure or right of any kind which can encumber or restrict the quiet enjoyment, transfer or use of the property right; – that the contributions do not include any off-balance sheet liabilities beneficial to, or given by the Acquired Companies other than those mentioned in this agreement; – that the contribution of FINAXA does not include any agreement which could modify the exchange ratio described in article 8 of this agreement; – that the contribution of FINAXA does not include any commitment (financial or otherwise) which could modify the exchange ratio used for the merger of FINAXA with and into the Acquiring Company.
