Common use of Register Clause in Contracts

Register. The Administrative Agent, acting solely for this purpose as a non-fiduciary agent of the Borrower (and such agency being solely for Tax purposes), shall maintain at the Administrative Agent’s Office a copy of each Assignment and Assumption delivered to it (or the equivalent thereof in electronic form) and a register for the recordation of the names and addresses of the Lenders, and the Commitments of, and principal amounts (and interest amounts) of the Loans and L/C Obligations owing to, each Lender pursuant to the terms hereof from time to time (the “Register”). The entries in the Register shall be conclusive, absent manifest error, and the Borrower, the Administrative Agent and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrower and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

Register. Register. In addition, the Administrative Agent shall give prompt written notice to the Company of its receipt and recording of any Assignment and Assumption. The entries in the Register shall be conclusive, conclusive absent manifest error, and the BorrowerLoan Parties, the Administrative Agent and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrower Company and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The Administrative Agent, acting solely for this purpose as a non-fiduciary an agent of the Borrower (and such agency being solely for Tax purposes)Company, shall maintain at one of its offices in the Administrative Agent’s Office United States a copy of each Assignment and Assumption delivered to and accepted by it (or the equivalent thereof in electronic form) and a register for the recordation of the names and addresses of the Lenders, and the Commitments of, and principal amounts (and interest amountsstated interest) of the Loans and L/C Obligations Advances owing to, each Lender pursuant to the terms hereof from time to time (the “Register”). In addition, the Administrative Agent shall maintain on the Register information regarding the designation and revocation of designation of any Lender as a Defaulting Lender. The entries in the Register shall be conclusive, conclusive absent manifest error, and the BorrowerCompany, the Administrative Agent and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrower and Company or any Lender (with respect to such Lender’s interest onlyother than a Disqualified Institution), at any reasonable time and from time to time upon reasonable prior notice.

Register. The Administrative AgentAgent shall, acting solely for this purpose as a non-fiduciary an agent of the Borrower (and such agency being solely for Tax purposes)Borrower, shall maintain at its address referred to on Schedule III of this Agreement (or such other address of the Administrative Agent’s Office Agent notified by the Administrative Agent to the other parties hereto) a copy of each Assignment and Assumption Acceptance Agreement delivered to and accepted by it (or the equivalent thereof in electronic form) and a register for the recordation of the names and addresses of the Lenders, the Commitment of each Lender and the Commitments of, and principal amounts aggregate outstanding Capital (and interest amountsstated interest) of the Loans and L/C Obligations owing to, of each Lender pursuant to the terms hereof from time to time (the “Register”). The entries in the Register shall be conclusiveconclusive and binding for all purposes, absent manifest error, and the Borrower, the Servicer, the Administrative Agent Agent, the Lenders, and the Lenders shall other Credit Parties may treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder under this Agreement for all purposes of this Agreement. The Register shall be available for inspection by the Borrower Borrower, the Servicer, the LC Bank and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The Register shall be available for inspection by the Borrower Parties and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The entries in the Register shall be conclusive, conclusive absent manifest error, and the Borrower, the Administrative Agent and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement, notwithstanding notice to the contrary. The Register shall be available for inspection by the Borrower and any Lender (with respect but only to the extent of entries in the Register that are applicable to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

Register. The Administrative Agent, acting solely for this purpose as a non-fiduciary agent of the Borrower (and such agency being solely for Tax purposes)Borrower, shall maintain at the Administrative Agent’s Office one of its offices in New York or otherwise a copy of each Assignment and Assumption delivered to it (or the equivalent thereof in electronic form) and a register for the recordation of the names and addresses of the LendersLenders and the L/C Issuer, and the Commitments of, and principal amounts (and interest amountsstated interest) of the Loans owing to or Letter of Credit Obligations, as applicable, each Lender and the L/C Obligations owing to, each Lender Issuer pursuant to the terms hereof from time to time (the “Register”). The entries in the Register shall be conclusive, conclusive absent manifest error, and Holdings, the Borrower, the Administrative Agent Agent, the L/C Issuer and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by Holdings, the Borrower and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The entries in the Register shall be conclusive, conclusive absent manifest error, and the Borrower, the Administrative Agent and the Lenders shall may treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement, notwithstanding notice to the contrary. The Register shall be available for inspection by the Borrower and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The entries in the Register shall be conclusive, conclusive absent manifest error, and the Borrower, the Administrative Agent and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrower and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

Register. The Register shall be available for inspection by the Borrower and any Lender (with respect to such Lender’s interest its own interests only), at any reasonable time and from time to time upon reasonable prior notice.

The entries in the Register shall be conclusive, absent manifest error, and the Borrower, the Administrative Agent and the Lenders shall may treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement, notwithstanding notice to the contrary. The Register shall be available for inspection by the Borrower and any Lender (with respect but only to the extent of entries in the Register that are applicable to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The Register shall be available for inspection by the Borrower and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The Register shall be available for inspection by the Borrower Borrower, the L/C Issuer and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice. No assignment shall be effective for purposes of this Agreement unless it has been recorded in the Register as provided in this subsection.

The Upon the written request of the Borrower, the Administrative Agent shall provide copies of the Register to the Borrower, and the Register shall be available for inspection by the Borrower and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The entries in the Register shall be conclusive, absent manifest error, and the Borrower, the Administrative Agent and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrower and any Lender (with respect to such LenderXxxxxx’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The entries in the Register shall be conclusive, conclusive absent manifest error, and the Borrower, the Administrative Agent and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrower and any Lender (with respect to such Lender’s interest only)Borrower, at any reasonable time and from time to time upon reasonable prior noticenotice (but not more frequently than once per calendar month).

The entries in the Register shall be conclusive, conclusive absent manifest error, and the Borrower, the Administrative Agent and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrower and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The entries in the Register shall be conclusive, conclusive absent manifest error, and the BorrowerBorrowers, the Administrative Agent and the Lenders shall may treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement, notwithstanding notice to the contrary. The Register shall be available for inspection by the Borrower Borrowers and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The Administrative Agent, acting solely for this purpose as a non-fiduciary agent of the Borrower and solely for tax purposes (and the Borrower hereby designates the Agent to act in such agency being solely for Tax purposescapacity), shall maintain at one of its offices in the Administrative Agent’s Office United States a copy of each Assignment and Assumption Agreement delivered to it (or the equivalent thereof in electronic form) and a register for the recordation of the names and addresses of the Lenders, and the Commitments of, and principal amounts (and interest amountsstated interest) of the Loans and L/C Obligations owing to, each Lender pursuant to the terms hereof from time to time (the “Register”). The entries in the Register shall be conclusive, absent manifest error, and the Borrower, the Administrative Agent and the Lenders shall may treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement, notwithstanding notice to the contrary. The Register shall be available for inspection by the Borrower and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The entries in the Register shall be conclusive, conclusive absent manifest error, and the BorrowerBorrowers, the Administrative Agent and the Lenders shall may treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrower Borrowers and any Lender (with respect to such Lender’s interest its own Loans and Commitments only), ) at any reasonable time and from time to time upon reasonable prior notice. The parties hereto intend that the Register shall be maintained such that the Loans are in “registered form” within the meaning of Treasury Regulations Section 5f.103-1(c).

Register. The Administrative Agent, acting solely for this purpose as a non-fiduciary agent of the Borrower Borrowers (and such agency being solely for Tax tax purposes), shall maintain at the Administrative Agent’s Office a copy of each Assignment and Assumption delivered to it (or the equivalent thereof in electronic form) and a register for the recordation of the names and addresses of the Lenders, and the Commitments of, and principal amounts (and interest amountsstated interest) of the Loans and L/C Obligations owing to, each Lender pursuant to the terms hereof from time to time (the “Register”). The entries in the Register shall be conclusive, conclusive absent manifest demonstrable error, and the BorrowerBorrowers, the Administrative Agent and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this AgreementAgreement notwithstanding 131 notice to the contrary. The Register shall be available for inspection by the Borrower Borrowers and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The entries in the Register shall be conclusive, absent manifest error, and the Borrower, the Administrative Agent and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrower and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The Register shall be available for inspection by the Borrower Borrowers and any Lender (with respect solely to the extent of the provisions related to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

Register. The entries in the Register shall be conclusive, absent manifest error, and the Borrower, the Administrative Agent and the Lenders shall may treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder 188 for all purposes of this Agreement, notwithstanding notice to the contrary. The Register shall be available for inspection by the Borrower and any Lender (with respect to any entry relating to such Lender’s interest onlyLoans), at any reasonable time and from time to time upon reasonable prior notice.

The Administrative Agent, acting solely for this purpose as a non-non- fiduciary agent of the Borrower (and such agency being solely for Tax purposes), shall maintain at the Administrative Agent’s Office a copy of each Assignment and Assumption delivered to it (or the equivalent thereof in electronic form) and a register for the recordation of the names and addresses of the Lenders, and the Commitments of, and principal amounts (and interest amounts) of the Loans and L/C Obligations owing to, each Lender pursuant to the terms hereof from time to time (the “Register”). The entries in the Register shall be conclusive, absent manifest error, and the Borrower, the Administrative Agent and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrower and any Lender (with respect to such LenderXxxxxx’s interest only), at any reasonable time and from time to time upon reasonable prior notice. No assignment shall be effective for purposes of this Agreement unless it has been recorded in the Register.

Register. The Administrative Agent, acting solely for this purpose as a non-fiduciary agent of the Borrower Borrowers, (and such agency being solely for Tax purposes), ) shall maintain at the Administrative Agent’s Office a copy of each Assignment and Assumption delivered to it (or the equivalent thereof in electronic form) and a register for the recordation of the names and addresses of the Lenders, and the Commitments of, and principal amounts (and interest amounts) of the Loans and L/C Obligations owing to, each Lender pursuant to the terms hereof from time to time (the “Register”). The entries in the Register shall be conclusive, conclusive absent manifest error, and the BorrowerBorrowers, the Administrative Agent and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrower Borrowers and any Lender (with respect to such LenderXxxxxx’s interest only), at any reasonable time and from time to time upon reasonable prior notice.. The Register shall be available for inspection by the any Borrower and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The Notwithstanding anything in the Loan Documents to the contrary, the entries in the Register shall be conclusive, conclusive absent manifest error, and the BorrowerBorrowers, the Administrative Agent and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrower Borrowers and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.. 170

In addition, the Agent shall maintain on the Register information regarding the designation, and revocation of designation, of any Lender as a Defaulting Lender. The Register shall be available for inspection by the Borrower and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The entries in the Register shall be conclusive, conclusive absent manifest error, and the BorrowerBorrowers, the Administrative Agent and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrower Borrowers and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The entries in the Register shall be conclusive, conclusive absent manifest error, and the Borrower, the Administrative Agent and the Lenders shall may treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement, notwithstanding notice to the contrary. The Register shall be available for inspection by the Borrower and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.
