Each Purchaser shall, at such Purchaser’s sole cost and expense, take any and all actions to transfer the registered office address of any such Acquired Company that uses any facility address of Seller or any of its Affiliates (other than the Acquired Companies) as a registered office address as set forth on Schedule 6.12 of the Seller Disclosure Schedule to a different registered office address effective as of no later than ten (10) Business Days following the Closing.
