Registrable Shares Held by the Company or its Affiliates. Whenever the consent or approval of Holders of a specified percentage of Registrable Shares is required hereunder, Registrable Shares held by the Company, its Affiliates, Management Holders or “executive officers” (as defined in Rule 405) of the Company shall not be counted in determining whether such consent or approval was given by the Holders of such required percentage; provided, however, that for purposes of this Section 11(j), other than the Management Holders and any other directors and executive officers of the Company, the other Holders holding Registrable Shares through Xxxxxxxxxx REIT Holdings, LP, Xxxxxxxxxx OP Holdings I, Ltd., and Xxxxxxxxxx OP Holdings II, Ltd. shall not be deemed to be Affiliates of the Company.
