REGISTRATION AND OWNERSHIP OF SHARES. Shares acquired by the Custodian shall be registered in the name of the Custodian or its nominee. The Custodian shall deliver, or cause to be delivered, to Participant all prospectuses, confirmations, notices, reports or other material as may be required under applicable securities laws. The Custodian shall not vote any such Shares except in accordance with written or oral instructions received from Participant.
