REGISTRATION AND OWNERSHIP OF SHARES. Shares acquired by the Custodian shall be registered in the name of the Custodian or its nominee. The Custodian shall deliver, or cause to be delivered, to Participant all prospectuses, confirmations, notices, reports or other material as may be required under applicable securities laws. The Custodian shall vote Shares held in the Custodial Account in accordance with the timely instructions of the Participant if received. If no timely voting instructions are received from the Participant, the Participant agrees that the Custodian will vote the Participant's Shares for which no voting instructions were timely received in the same proportion of total Shares of the Fund for which voting instructions were timely received.
