Registration and Prospectus; Other Information. (a) Neither the Registration Statement at the time it was declared effective, the Prospectus as of its date, nor any post-effective amendment or supplement to the Registration Statement or the Prospectus at the time it is filed with the Commission and at the Closing Date: (i) contained or will contain any untrue statement of a material fact or omitted or will omit to state any material fact necessary to make the statements therein, in the light of the circumstances under which they were made, not misleading, it being understood that the Registration Statement and Prospectus were prepared only in connection with the offering of the Notes; or (ii) disclosed or will disclose the identity of the Agent or any Lender except at the request of any regulatory body, or by the order of any court or administrative agency.
