Registration and Qualification Procedures. HHTI is required by the provisions of Section 8.06(a) hereof to use its commercially reasonable best efforts to have a Shelf Registration relating to the Redemption Shares declared effective under the Securities Act as soon as practicable after the filing of such Shelf Registration.
