Common use of REGISTRATION AND RECORDATION Clause in Contracts

REGISTRATION AND RECORDATION. Except for (A) the registration of the Aircraft with the FAA pursuant to the Act in the name of Owner Trustee, (B) the filing for recordation of the instruments referred to in Section 4(a)(ix)(2) and (3) and this Agreement, if deemed necessary due to the incorporation by reference in such other instruments of terms defined herein, (C) the filing of the UCC financing statements referred to in Section 4(a)(vi) and continuation statements at periodic intervals, (D) the taking of possession by the Indenture Trustee of the original counterparts of the Lease and the initial Lease Supplement, and (E) the affixation of the nameplate referred to in Section 7.1.2 of the Lease, no further action, including any filing or recording of any document (including any financing statement in respect thereof under Article 9 of the Uniform Commercial Code of any applicable jurisdiction), is necessary or advisable in order to establish and perfect the right, title or interest of Owner Trustee in the property constituting the Trust Estate, or of Indenture Trustee in the property constituting the Trust Indenture Estate, in any applicable jurisdiction within the United States of America.
