Registration and Security. As part of the registration and account creation process necessary to obtain access to the client portal, you must create a username and password. You must provide the Company with certain registration information, all of which must be accurate and updated as appropriate. You may not (i) select or use a subscriber ID of another person with the intent to impersonate that person; (ii) use a subscriber ID in which another person has rights without such person’s authorization; or (iii) use a subscriber ID that the Company, in its sole discretion, deems offensive or ill advisable . Failure to comply with the foregoing shall constitute a breach of this Agreement, which may result in immediate termination of your access to protected areas of the Site. You are responsible for maintaining the confidentiality of your password. You shall immediately notify the Company of any known or suspected unauthorized use of your username and password, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your username and password. You are responsible for all usage or activity using your username and password. Any fraudulent, abusive, or other illegal activity may be grounds for termination of your access to the Site or other liability.
Registration and Security. 6.1 As part of the registration or account creation process, you will create login credentials by selecting a password and providing an email address. You also have to give us certain registration information, all of which must be accurate and updated. Each registration is for a single user only. You are not allowed to share your registration login credentials or give your login credentials to anyone else. We may cancel or suspend your access to the Company Services if you share your login credentials. Failure to comply with the foregoing shall constitute a breach of these Terms of Service, which may result in immediate suspense or termination of your account.

If you are accessing the Services through a third party site or service (such as “Facebook Connect”), Company may require that your Company User ID be the same as your user name for such third party site or service. If you access the Service through a third party site or service, you will provide your third party account credentials to Company, and you are consenting to have the information in those accounts transmitted into your Company account, and you agree that you shall only use accounts owned by you, and not by any other person or entity.

Registration and Security. 4.1 Conditions precedent to closing and release of the purchase price The following has been agreed to ensure secure closing of the transaction pursuant to Section 3-2 and Section 6-9 of the Estate Agency Act: The parties have agreed the following conditions precedent to release of the purchase price: An alienation clause having been registered; The purchaser having paid the purchase price, inclusive of costs, in its entirety; The purchaser having taken possession of the property; The purchaser’s title deed to the property – without any other encumbrances than those agreed by the parties – having been registered; Any lenders to the purchaser having registered any mortgages on the property with the required priority; and Any encumbrances not intended to be included in the transaction having been deregistered. Conditions nos. 5 and 6 shall not prevent the estate agent from initiating closing on the basis of a statement of outstanding debt and adequate deregistration confirmation from the seller’s creditor(s) with mortgages secured on the property. Creditors cannot lay claim to the purchase price in the estate agent’s client account until conditions 1 to 6 for release of the purchase price pursuant to the present agreement have been met, cf. Section 3-2 of the Estate Agency Act and Section 2-2 of the Satisfaction of Claims Act. If the seller has permitted the purchaser to take possession of the property even though part of the purchase price/costs has not been paid, the first part of the closing can nonetheless be completed irrespective of condition no. 2 above. The rest of the closing will in such case take place when the remainder of the purchase price/costs has been paid.

Registration and Security. As a condition to using Services, you may be required to register with M-Prep Inc and select a password and user name (“M-Prep User ID” or “Eneza ID”), or you may be permitted to register a school “subdomain” within the Website (“M-Prep Inc Subdomain”). You shall provide M-Prep Inc with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of this Agreement, which may result in immediate termination of your account and/or all accounts associated with your M-Prep Inc Subdomain. You may not select or use as a M-Prep Inc User ID a name of another person with the intent to impersonate that person or use as an M-Prep Inc User ID a name subject to any rights of a person other than you without appropriate authorization, nor may you select or use an M-Prep Inc Subdomain that you do not have the right and authorization to use. M-Prep Increserves the right to refuse registration of or cancel an M-Prep Inc User ID or M-Prep Inc Subdomain in its discretion. You shall be responsible for maintaining the confidentiality of your password.
Registration and Security. Each User will be assigned a unique user ID (each, a “User ID”) and password (each, a “Password”) to allow such User to access the Services. You are entirely responsible for maintaining the confidentiality, adequate security and control of any Passwords, User IDs, personal identification numbers (PINs) or any other codes that you or the Users use to access the Services. Furthermore, you are entirely responsible for any and all activities that occur under each User ID and Password. YOU ACKNOWLEDGE AND AGREE THAT AMERICAN EXPRESS WILL ACT ON ANY INSTRUCTIONS RECEIVED BY US FROM THE USERS ASSOCIATED WITH THE AFOREMENTIONED USER IDS AND PASSWORDS. We will not be liable for any loss or damage that you may incur as a result of anyone using the Password or User IDs, either with or without your knowledge. We will be entitled to rely on the genuineness and authority of all instructions received by us from a User or through access by any person to the Services using a matching User ID and Password, and to act on such instructions until we receive from you the notice of termination of such User in accordance with Section 4 above.

Any sharing of passwords or any other methods of unauthorized access to the site with any other person is strictly forbidden, as it exceeds the authority granted to You to access the Content, violates EXEDY’s and its vendors’ intellectual property rights, and may violate civil and criminal laws.
