Common use of Registration and Transfer of Securities Clause in Contracts

Registration and Transfer of Securities. All Securities held for a Fund that are issued or issuable only in bearer form shall be held by the Custodian in that form, provided that any such Securities shall be held in a Securities System if eligible therefor. All other Securities held for a Fund may be registered in the name of such Fund, the Custodian, or any sub- custodian or agent appointed pursuant to Sections 3.3 and 3.4, respectively, above, or in the name of any nominee of any of them, or in the name of a Securities System or any nominee thereof. All securities accepted by the Custodian on behalf of the Fund under the terms of this Agreement shall be in "street name" or other good delivery form. If, however, the Fund directs the Custodian to maintain securities in "street name", the Custodian shall utilize its best efforts only to timely collect income due the Fund on such securities and to notify the Fund on a best efforts basis only of relevant corporate actions including, without limitation, pendency of calls, maturities, tender or exchange offers. The Trust shall furnish to the Custodian appropriate instruments to enable the Custodian to hold or deliver in proper form for transfer, or to register in the name of any of the nominees hereinabove referred to or in the name of a Securities System, any Securities registered in the name of a Fund.
