Common use of Registration and Transfer of Shares Clause in Contracts

Registration and Transfer of Shares. (a) The Company shall keep or cause to be kept on behalf of the Company a register that, subject to such reasonable regulations as it may prescribe, will provide for the registration and transfer of both certificated and uncertificated Shares. The Transfer Agent is hereby appointed registrar and transfer agent for the purpose of registering Shares and transfers of such Shares as herein provided.

The ; provided, that the Company may from time to time appoint a Transfer Agent is hereby appointed registrar and transfer agent for the purpose of registering Class A Common Shares and transfers of such Class A Common Shares as herein provided. In the absence of manifest error, the register kept by or on behalf of the Company shall be conclusive as to the identity of the holders of Shares.
