Registration as an Adviser. The Subadviser hereby represents and warrants that it is registered with the SEC as an investment adviser under the Advisers Act, and covenants that it intends to remain so registered for the duration of this Agreement. Subadviser shall notify the Adviser immediately in the event that Subadviser ceases to be registered with the SEC as an investment adviser under the Advisers Act.
