REGISTRATION AS AN INVESTMENT ADVISER AND REGISTRATION OF INVESTMENT ADVISER REPRESENTATIVES. (a) The LLC shall be registered as an investment adviser under the Advisers Act and the rules and regulations promulgated thereunder, and under the laws of each state where such a registration may be necessary to enable the LLC, after giving effect to the Conversion and the Closing, to conduct the business of the Company in the manner conducted by the Company as of the date of this Agreement.
