Common use of Registration Default Fee Clause in Contracts

Registration Default Fee. If the Registration Statement contemplated in Section 2.1 is (x) not declared effective by the Required Effectiveness Date or (y) such effectiveness is not maintained for the Registration Maintenance Period, then the Company shall pay to the Fund the liquidated damages specified in Section 10.4 of the Securities Purchase Agreement.

Registration Default Fee. If the Registration Statement contemplated in Section 2.1 is (x) not filed with the Commission by the Filing Date, (y) not declared effective by the Required Effectiveness Date or (yz) such effectiveness is not maintained for the Registration Maintenance Period, then the Company shall pay to the Fund Holder the liquidated damages fees specified in Section 10.4 of the Securities Purchase Agreement.
