If the Company proposes to file a Piggyback Registration Statement, then it shall give the Investor written notice of such proposed filing (a “Registration Notice”) at least 45 days before the anticipated filing date of the Piggyback Registration Statement. The Registration Notice shall offer the Investor the opportunity to include all or part of the Registerable Securities in the Piggyback Registration Statement.
