Common use of Registration of Certain Shares Clause in Contracts

Registration of Certain Shares. Promptly after the Effective Time, Parent shall file registration statements on Form S-8 and Form S-3 (or any successor or other appropriate forms), with respect to the shares of Parent Common Stock subject to Company Stock Options and Company Warrants. Parent shall use reasonable commercial efforts to have such registration statements declared effective promptly after filing (to the extent such registration statements are not automatically effective upon filing). Parent shall use reasonable commercial efforts to maintain the effectiveness of such registration statements for so long as such options or warrants remain outstanding.
