Registration of February Warrant Shares. (a) The February Warrant Shares have been duly registered for resale pursuant to a registration statement (the “February Warrant Share Registration Statement”) filed pursuant to the February Purchase Agreement. (b) The February Warrant Share Registration Statement has been declared effective by the SEC, and no stop order relating thereto has been issued and, to the Company’s knowledge no such stop order has been threatened or proceeding to issue such a stop order commenced. (c) The Prospectus contained in the February Warrant Share Registration Statement is current and may be used by the Investor for resale of the February Warrant Shares. (d) The February Warrant Shares are duly listed for trading on the Nasdaq National Market.
