Registration Of Transfer And Exchange; Restrictions On Transfer. (a) Upon surrender for registration of transfer of any Registered Security at any office or agency designated for such purpose by the Company pursuant to Section 12(g) hereof, the Company shall execute, and the Fiscal Agent shall authenticate, register and deliver, in the name of the designated transferee or transferees, one or more new Registered Securities of any authorized denominations and of a like aggregate principal amount, having endorsed thereon a Guarantee duly executed by the Guarantor, and bearing such restrictive legends as may be required by this Agreement; provided, however, that, with respect to any Registered Security that is a Restricted Security, the Fiscal Agent shall not register the transfer of such Security unless the conditions in Sections 3(b) hereof shall have been satisfied. The holder of each Restricted Security, by such holder's acceptance thereof, agrees to be bound by the transfer restrictions set forth herein and in the legend on such Restricted Security.
