Beginning six months following an IPO, Xxxxxxx will have the right to three demand registrations, provided that each such demand registration shall be for no less than $10,000,000 worth of shares of Common Stock. Form S-3. Xxxxxxx will be entitled to unlimited registrations on Form S-3 (or any successor form then in effect), provided that each registration on Form S-3 shall be for no less than $3,000,000 worth of shares of Common Stock. An S-3 registration will not count as a demand registration. Piggy Back Registration. Following the IPO, Xxxxxxx will have unlimited pro rata piggy back registration rights, subject to standard underwriter cutbacks. Expenses.
