Common use of Registration Statement and Final Prospectus Clause in Contracts

Registration Statement and Final Prospectus. Neither the Registration Statement, in its form at the Effective Time, nor the Final Prospectus shall contain any untrue statement of a material fact or omit to state any material fact necessary in order to make the statements contained therein not materially misleading in the light of the circumstances under which those statements are made; and
