Common use of Registration, Transfers and Exchanges Clause in Contracts

Registration, Transfers and Exchanges. The Company shall maintain at the principal office of the Warrant Agent at ___________ a register for the registration of the Warrant Certificates and of their transfer from time to time (the "WARRANT REGISTER"). The Company and the Warrant Agent may deem and treat the registered holder of each Warrant Certificate as the absolute owner thereof (notwithstanding any notation of ownership or other writing thereon made by anyone), for the purpose of any exercise thereof, any distribution to the holder thereof, and for all other purposes, and neither the Company nor the Warrant Agent shall be affected by any notice to the contrary.
