Common use of Regulation AB Clause in Contracts

Regulation AB. The Servicer shall cooperate fully with the Depositor and the Issuing Entity to deliver to the Depositor and the Issuing Entity (including any of its assignees or designees) any and all statements, reports, certifications, records and any other information necessary in the good faith determination of the Depositor or the Issuing Entity to permit the Depositor to comply with the provisions of Regulation AB, together with such disclosures relating to the Servicer and the Transaction Units, or the servicing of the Transaction Units, reasonably believed by the Depositor to be necessary in order to effect such compliance.

The Servicer shall cooperate fully with the Depositor and the Issuing Entity Issuer to deliver to the Depositor and the Issuing Entity Issuer (including any of its assignees or designees) any and all statements, reports, certifications, records and any other information necessary in the good faith determination of the Depositor or the Issuing Entity Issuer to permit the Depositor to comply with the provisions of Regulation AB, together with such disclosures relating to the Servicer and the Transaction UnitsReceivables, or the servicing of the Transaction UnitsReceivables, reasonably believed by the Depositor to be necessary in order to effect such compliance.
