Common use of Regulatory and Other Permits Clause in Contracts

Regulatory and Other Permits. 58. Subject to the terms and conditions of this Agreement, Purchaser shall use commercially reasonable efforts to take, or cause to be taken, all actions, and to do, or cause to be done, all things necessary, proper or advisable under this Agreement and applicable Laws to consummate and make effective the transactions contemplated by this Agreement as soon as practicable. Without limiting the foregoing, Purchaser shall, and shall cause its Affiliates to, cooperate with Seller to prepare, as soon as is practical following the date of this Agreement, all necessary filings in connection with the transactions contemplated by this Agreement that may be required under the HSR Act or any other federal, state or local laws prior to the Closing Date (except pursuant to section 203 of the FPA, which is subject to Section 7.01(e) below) and shall use commercially reasonable efforts to obtain as promptly as practicable all Permits and all consents, approvals or actions of all Governmental Authorities and other Persons necessary to consummate the transactions contemplated hereby, including Purchaser Approvals and Purchaser Consents. Purchaser shall submit the required filings as soon as practicable, but, with respect to filings under the HSR Act, in no event later than twenty (20) Business Days after the date of this Agreement. Purchaser shall request expedited treatment of any such filings, promptly make any appropriate or necessary subsequent or supplemental filings, cooperate with Seller in the preparation of such filings in such manner as is reasonably necessary and appropriate, and comply as promptly as reasonably practicable with any requests received by Purchaser under any Laws for additional information, documents or other materials. Purchaser shall consult with Seller and shall agree in good faith with Seller upon the timing of such filings.

Without limiting the foregoing, Purchaser (a) Seller shall, and shall cause its Affiliates including, as applicable, any Company Entity to, cooperate with Seller to prepare, as soon as is practical practicable following the date of this Agreement, all necessary filings in connection with the transactions contemplated by this Agreement that may be required under the HSR Act or any other federal, state or local laws prior to the Closing Date (except pursuant to section 203 of the FPA, which is subject to Section 7.01(e5.01(b) below) and shall use commercially reasonable efforts to obtain as promptly as reasonably practicable all Permits and all consents, approvals or actions of all Governmental Authorities and other Persons necessary to consummate the transactions contemplated hereby, including Purchaser the Seller Approvals and Purchaser Seller Consents. Purchaser Seller shall, and shall cause its Affiliates including, as applicable, any Company Entity to, submit the required filings as soon as reasonably practicable. Seller shall, butand shall cause its Affiliates to, with respect to filings under the HSR Act, in no event later than twenty (20) Business Days after as soon as is practicable following the date of this Agreement, assist Purchaser in the preparation and filing of a joint voluntary notice to CFIUS pursuant to 31 C.F.R. Part 800 with regard to the transactions contemplated by this Agreement. Purchaser Seller shall, and shall cause its Affiliates to, request expedited treatment of any such filings, promptly make any appropriate or necessary subsequent or supplemental filings, and cooperate with Seller Purchaser in the preparation of such filings in such manner as is reasonably necessary and appropriate, and comply as promptly as reasonably practicable with any requests received by Purchaser under any Laws for additional information, documents or other materials. Purchaser Seller shall consult with Seller Purchaser and shall agree in good faith with Seller Purchaser upon the timing of such filings.
