Common use of Regulatory Approval; Consents; Waivers Clause in Contracts

Regulatory Approval; Consents; Waivers. The Obligors shall have provided to the Administrative Agent satisfactory evidence of their having obtained: (a) all material Authorizations (including all approvals listed in Schedule 3.1(3) or otherwise required pursuant to Section 3.1(3)); (b) all corporate, partnership, shareholder and court approvals; and (c) all consents and waivers (the failure to obtain which would result in a breach or default under any Material Contract), required in order to consummate the Transactions and that the same are in full force and effect.
