Regulatory Approvals and Related Matters. Each Party shall use commercially reasonable efforts to file or otherwise submit, as soon as practicable after the date of this Agreement, all applications, notices, reports and other documents reasonably required to be filed by such Party with or otherwise submitted by such Party to any Governmental Body with respect to the Merger, and to submit promptly any additional information requested by any such Governmental Body. Without limiting the generality of the foregoing, the Parties shall, promptly after the date of this Agreement, prepare and file, if any, (a) the notification and report forms required to be filed under the HSR Act and (b) any notification or other document required to be filed in connection with the Merger under any applicable foreign Legal Requirement relating to antitrust or competition matters. Parent and Company shall respond as promptly as is practicable to respond in compliance with: (i) any inquiries or requests received from the Federal Trade Commission or the Department of Justice for additional information or documentation; and (ii) any inquiries or requests received from any state attorney general, foreign antitrust or competition authority or other Governmental Body in connection with antitrust or competition matters.

(a) Each Party party shall (and shall cause its Affiliates to) use commercially reasonable efforts to file or otherwise submitfile, as soon as reasonably practicable after the date of this Agreement, all applications, notices, reports and other documents reasonably required to be filed by such Party party with or otherwise submitted by such Party to any Governmental Body Government with respect to the MergerMerger and the other Transactions, and to submit promptly any additional information requested by any such Governmental BodyGovernment. Without limiting the generality of the foregoing, the Parties shall, Company and Parent shall as promptly after as practicable following the date of this Agreement, Agreement prepare and file, if any, file (ai) the notification and report forms required to be filed under the HSR Act Act; and (bii) any notification or other document required to be filed in connection with the Merger under any applicable foreign Legal Requirement Law relating to antitrust or competition matters. The Company and Parent and Company shall respond as promptly as is practicable to respond in compliance withto: (iA) any inquiries or requests received from the Federal Trade Commission or the Department of Justice for additional information or documentation; and (iiB) any inquiries or requests received from any state attorney general, foreign antitrust or competition authority or other Governmental Body Government in connection with antitrust or competition matters.
