Common use of Regulatory Consents and Approvals Clause in Contracts

Regulatory Consents and Approvals. All consents, approvals and actions of, filings with and notices to any Governmental Authority necessary to permit the Parent and the Buyer to perform their respective obligations under this Agreement and to consummate the Transactions, (i) shall have been duly obtained, made or given, (ii) shall be in form and substance reasonably satisfactory to the Seller Group, (iii) not be subject to the satisfaction of any condition that has not been satisfied or waived and (iv) shall be in full force and effect, and all terminations or expirations of waiting periods imposed by any Governmental Authority necessary for the consummation of the Transactions shall have occurred.

Regulatory Consents and Approvals. All consents, approvals and actions of, filings with and notices to any Governmental or Regulatory Authority necessary to permit the Parent and the Buyer parties to this Agreement to perform their respective obligations under this Agreement it and to consummate the Transactionstransactions contemplated hereby, (ia) shall have been duly obtained, made or given, (iib) shall be in form and substance reasonably satisfactory to the Seller GroupEPI, (iiic) shall not be subject to the satisfaction of any condition that has not been satisfied or waived and (ivd) shall be in full force and effect, and all terminations or expirations of waiting periods imposed by any Governmental or Regulatory Authority necessary for the consummation of the Transactions transactions contemplated by this Agreement, including under competition laws, shall have occurred.

All consents, approvals and actions of, filings with and notices to any Governmental or Regulatory Authority necessary to permit the Parent Seller and the Buyer Purchaser to perform their respective obligations under this Agreement and the Operative Agreements and to consummate the Transactions, transactions contemplated hereby and thereby (ia) shall have been duly obtained, made or given, (iib) shall be in form and substance reasonably satisfactory to the Seller Group, (iii) not be subject to the satisfaction of any condition that has not been satisfied or waived and (ivc) shall be in full force and effect, and all terminations or expirations of waiting periods imposed by any Governmental or Regulatory Authority necessary for the consummation of the Transactions transactions contemplated by this Agreement and the Operative Agreements shall have occurred.
