Common use of Regulatory Filings; Consents; Reasonable Efforts Clause in Contracts

Regulatory Filings; Consents; Reasonable Efforts. Subject to the terms and conditions of this Agreement, the parties shall use their respective reasonable good faith efforts to (a) make all necessary filings with respect to the Exchange and this Agreement under the Exchange Act and other applicable securities laws and obtain required approvals and clearances with respect thereto and supply all additional information requested in connection therewith; (b) make merger notification or other appropriate filings with governmental bodies or applicable governmental agencies and obtain required approvals and clearances with respect thereto and supply all additional information requested in connection therewith; (c) obtain all consents, waivers, approvals, authorizations and orders required in connection with the authorization, execution and delivery of this Agreement and the consummation of the Exchange; and (d) take, or cause to be taken, all appropriate action, and do, or cause to be done, all things necessary, proper or advisable to consummate and make effective the transactions contemplated by this Agreement as promptly as practicable.

Subject to the terms and conditions of this Agreement, the parties each of Seller, Parent and Purchaser shall use their respective reasonable good faith commercial efforts to (a) make all necessary filings with respect to the Exchange Transaction and this Agreement under the Exchange Act and other applicable federal, foreign, state or similar securities laws and obtain required approvals and clearances with respect thereto and supply all additional information requested in connection therewith; , (b) make merger premerger notification or other appropriate filings with governmental bodies or applicable governmental agencies Governmental Entities and obtain required approvals and clearances with respect thereto and promptly supply all additional information or documentation requested in connection therewith; , (c) obtain all consents, waivers, approvals, authorizations and orders required in connection with the authorization, execution and delivery of this Agreement the Transaction Agreements and the consummation of the Exchange; Transaction and (d) take, or cause to be taken, all appropriate action, and do, or cause to be done, all things necessary, proper or advisable to consummate and make effective the transactions contemplated by in this Agreement as promptly as practicable.
