Regulatory Milestones Prior to Closing. Seller and Buyer shall prepare and file the applications as may be required with respect to the execution, delivery and performance of this Agreement and the consummation of the transactions contemplated hereby. Buyer and Seller agree to take all reasonable actions required or requested by such authorities for the expeditious consideration and rendering of all appropriate approvals, consents and authorizations. Seller and Buyer shall diligently and timely cooperate with each other and with all other parties in the submission of applications and of any and all such additional information or documentation requested by any such regulatory authorities.
