Common use of Regulatory Reporting Compliance Clause in Contracts

Regulatory Reporting Compliance. Seller shall, on or before the last Business Day of the fifth (5th) month following the end of each of Seller’s (or, if the Mortgage Loans are subserviced by an Eligible Subservicer, the Subservicer’s) fiscal years (December 31), beginning with the fiscal year ending in 2021, deliver to Buyer a copy of the results of any Uniform Single Attestation Program for Mortgage Bankers or an Officer’s Certificate that satisfies the requirements of Item 1122(a) of Regulation AB, an independent public accountant’s report that satisfies the requirements of Item 1123 of Regulation AB, or similar review conducted on Seller (or if the Mortgage Loans are subserviced by an Eligible Subservicer, the Eligible Subservicer) by its accountants, and such other reports as Seller may prepare relating to its servicing functions as Seller.
