Common use of Reimbursement by Issuer Clause in Contracts

Reimbursement by Issuer. Subject to sub-clauses 7.1.1 and 7.1.2 (Payments by Paying Agents), if a Paying Agent makes a payment in respect of Notes on or after the due date for such payment under the Conditions at a time at which the Fiscal Agent has not received the full amount of the relevant payment due to it under Clause 6.1 (Issuer to pay Fiscal Agent) and the Fiscal Agent is not able out of funds received by it under Clause 6.1 (Issuer to pay Fiscal Agent) to reimburse such Paying Agent therefor (whether by payment under Clause 7.3 (Reimbursement by the Fiscal Agent) or appropriation under Clause 7.4 (Appropriation by the Fiscal Agent), the Issuer shall from time to time on demand pay to the Fiscal Agent for account of such Paying Agent: 7.5.1 the amount so paid out by such Paying Agent and not so reimbursed to it; and 7.5.2 interest on such amount from the date on which such Paying Agent made such payment until the date of reimbursement of such amount; provided, however, that any payment made under sub-clause 7.5.1 shall satisfy pro tanto the obligations of the Issuer or under Clause 6.1 (Issuer to pay Fiscal Agent).

Reimbursement by Issuer. Subject to sub-clauses 7.1.1 and 7.1.2 (Payments by the Paying Agents), if a Paying Agent makes a payment in respect of Notes on or after the due date for such payment under the Conditions at a time at which the Fiscal Agent has not received the full amount of the relevant payment due to it under Clause 6.1 (Issuer to pay the Fiscal Agent) and the Fiscal Agent is not able out of funds received by it under Clause 6.1 (Issuer to pay the Fiscal Agent) to reimburse such Paying Agent therefor (whether by payment under Clause 7.3 (Reimbursement by the Fiscal Agent) or appropriation under Clause 7.4 (Appropriation by the Fiscal Agent), the Issuer shall from time to time on demand pay to the Fiscal Agent for account of such Paying Agent: 7.5.1 the amount so paid out by such Paying Agent and not so reimbursed to it; and 7.5.2 interest on an amount sufficient to indemnify such amount from the date on Agent against any cost, loss or expense which such Paying Agent made it incurs as a result of making such payment until the date of and not receiving reimbursement of such amount; provided, however, that any payment made under sub-clause 7.5.1 ; 5.1 above shall satisfy pro tanto the obligations of the Issuer or under Clause 6.1 (Issuer to pay the Fiscal Agent).

Subject to sub-clauses 7.1.1 6.1(a) and 7.1.2 6.1(b) (Payments by Paying Agents), if a Paying Agent makes a payment in respect of Notes on or after the due date for such payment under the Conditions at a time at which the Fiscal Agent has not received the full amount of the relevant payment due to it under Clause 6.1 5.1 (Issuer to pay Fiscal Agent) and the Fiscal Agent is not able out of funds received by it under Clause 6.1 5.1 (Issuer to pay Fiscal Agent) to reimburse such Paying Agent therefor (whether by payment under Clause 7.3 6.3 (Reimbursement by the Fiscal Agent) or appropriation under Clause 7.4 6.4 (Appropriation by the Fiscal Agent)), the Issuer shall from time to time on demand pay to the Fiscal Agent for the account of such Paying Agent: 7.5.1 (a) the amount so paid out by such Paying Agent and not so reimbursed to it; and 7.5.2 (b) interest on such amount from the date on which such Paying Agent made such payment until the date of reimbursement of such amount; provided, however, that any payment made under sub-clause 7.5.1 6.5(a) shall satisfy pro tanto the obligations of the Issuer or under Clause 6.1 5.1 (Issuer to pay Fiscal Agent).

Reimbursement by Issuer. Subject to sub-clauses 7.1.1 and 7.1.2 (Payments by Paying Agents), ) if a any Paying Agent makes a payment in respect of Notes on or after the due date for such payment under the Conditions at a time at which the Fiscal Agent has not received the full amount of the relevant payment due to it under Clause 6.1 (Issuer to pay Fiscal Agent) ), and the Fiscal Agent is not able out of the funds received by it under Clause 6.1 (Issuer to pay Fiscal Agent) to reimburse such Paying Agent therefor (whether by payment under Clause 7.3 (Reimbursement by the Fiscal Agent) or appropriation under Clause 7.4 (Appropriation by the Fiscal Agent)), the Issuer shall from time to time on demand pay to the Fiscal Agent for the account of such Paying Agent: 7.5.1 Unfunded amount: the amount so paid out by such Paying Agent and not so reimbursed to it; and 7.5.2 Funding cost: interest on such amount from the date on which such Paying Agent made such payment until the date of reimbursement at a percentage rate per annum equal to the cost to the Paying Agent of such funding the amount paid out, as certified by the Paying Agent and expressed as a percentage rate per annum; 5.1 (Unfunded amount; provided, however, that any payment made under sub-clause 7.5.1 ) shall satisfy pro tanto the Issuer's obligations of the Issuer or under Clause 6.1 (Issuer to pay Fiscal Agent).

Reimbursement by Issuer. Reimbursement by Issuer. Subject to sub-clauses 7.1.1 and 7.1.2 (Payments by Paying Agents), if a Paying Agent makes a payment in respect of Notes on or after the due date for such payment under the Conditions at a time at which the Fiscal Agent has not received the full amount of the relevant payment due to it under Clause 6.1 (Issuer to pay Fiscal Agent) and the Fiscal Agent is not able out of funds received by it under Clause 6.1 (Issuer to pay Fiscal Agent)) to reimburse such Paying Agent therefor (whether by payment under Clause 7.3 7.4 (Reimbursement by the Fiscal Agent) or appropriation under Clause 7.4 7.5 (Appropriation by the Fiscal Agent)), the Issuer shall from time to time on demand pay to the Fiscal Agent for the account of such Paying Agent: 7.5.1 the amount so paid out by such Paying Agent and not so reimbursed to it; and 7.5.2 interest on such amount from the date on which such Paying Agent made such payment until the date of reimbursement of such amount; provided, however, that any payment made under sub-clause 7.5.1 . Interest shall satisfy pro tanto accrue for the obligations purposes of this Clause 7.6 (both before and after judgment) on the Issuer or under Clause 6.1 (Issuer basis of a year of 365 days and the actual number of days elapsed and at the rate per annum specified by such Paying Agent as reflecting its cost of funds for the time being in relation to pay Fiscal Agent)the unpaid amount.

Reimbursement by Issuer. Subject to sub-clauses 7.1.1 Clauses 7.01(a) and 7.1.2 (b) (Payments by Paying Agents), if a Paying Agent makes a payment in respect of Notes on or after the due date for such payment under the Conditions at a time at which the Fiscal Agent has not received the full amount of the relevant payment due to it under Clause 6.1 6.01 (Issuer to pay Fiscal Agent) and the Fiscal Agent is not able out of funds received by it under Clause 6.1 6.01 (Issuer to pay Fiscal Agent) to reimburse such Paying Agent therefor (whether by payment under Clause 7.3 7.03 (Reimbursement by the Fiscal Agent) or appropriation under Clause 7.4 7.04 (Appropriation by the Fiscal Agent)), the Issuer shall from time to time on demand pay to the Fiscal Agent for account of such Paying Agent: 7.5.1 (a) the amount so paid out by such Paying Agent and not so reimbursed to it; and 7.5.2 (b) interest on such amount from the date on which such Paying Agent made such payment until the date of reimbursement of such amount; provided, however, that any payment made under sub-clause 7.5.1 paragraph (a) above shall satisfy pro tanto the obligations of the Issuer or under Clause 6.1 6.01 (Issuer to pay Fiscal Agent).

Subject to sub-clauses 7.1.1 8.1.1 and 7.1.2 8.1.2 (Payments by the Paying Agents), if a Paying Agent makes a payment in respect of Notes on or after the due date for such payment under the Conditions at a time at which the Fiscal Agent has not received the full amount of the relevant payment due to it under Clause 6.1 7.1 (Issuer to pay Fiscal Agent) and the Fiscal Agent is not able out of funds received by it under Clause 6.1 7.1 (Issuer to pay Fiscal Agent) to reimburse such Paying Agent therefor (whether by payment under Clause 7.3 8.3 (Reimbursement by the Fiscal Agent) or appropriation under Clause 7.4 8.4 (Appropriation by the Fiscal Agent)), the Issuer shall from time to time on demand pay to the Fiscal Agent for account of such Paying Agent: 7.5.1 8.5.1 the amount so paid out by such Paying Agent and not so reimbursed to it; andand‌ 7.5.2 8.5.2 interest on such amount from the date on which such Paying Agent made such payment until the date of reimbursement of such amount; amount,‌ provided, however, that any payment made under sub-clause 7.5.1 8.5.1 above shall satisfy pro tanto the obligations of the Issuer or under Clause 6.1 7.1 (Issuer to pay Fiscal Agent).

Reimbursement by Issuer. Subject to sub-clauses 7.1.1 and 7.1.2 (Payments by Paying Agents), if 8.5.1 If a Paying Agent makes a payment in respect of the Notes on or after the due date for such payment under the Note Conditions at a time at which the Fiscal Principal Paying Agent has not received the full amount of the relevant payment due to it under Clause 6.1 7.1 (Issuer to pay Fiscal Principal Paying Agent) and the Fiscal Principal Paying Agent is not able out of funds received by it under Clause 6.1 7.1 (Issuer to pay Fiscal Principal Paying Agent) to reimburse such Paying Agent therefor therefore (whether by appropriation under Clause 8.3 (Appropriation by the Principal Paying Agent), where such payment was made by the Principal Paying Agent, or payment under Clause 7.3 8.4 (Reimbursement by the Fiscal Agent) or appropriation under Clause 7.4 (Appropriation by the Fiscal Principal Paying Agent), where such payment was made by another Paying Agent) the Issuer shall from time to time on demand pay to the Fiscal Principal Paying Agent for the account of it or such Paying Agent: 7.5.1 (a) the amount so paid out by such Paying Agent and not so reimbursed to it; and 7.5.2 interest on such (b) an amount from the date on which sufficient to indemnify such Paying Agent made against any cost, loss or expense which it incurs as a result of making such payment and not receiving reimbursement of such amount until the date of reimbursement of such amount; , provided, however, that any payment made under sub-clause 7.5.1 Clause 8.5.1(a) above shall satisfy pro tanto the obligations of the Issuer or under Clause 6.1 7.1 (Issuer to pay Fiscal Principal Paying Agent).
