Common use of Reimbursement of Expenses upon Termination of Agreement Clause in Contracts

Reimbursement of Expenses upon Termination of Agreement. If this Agreement shall be terminated by the Company pursuant to any of the provisions hereof or if for any reason the Company shall be unable to perform its obligations or to fulfill any conditions hereunder, or if the Underwriters shall terminate this Agreement pursuant to the last paragraph of Section 5, Section ‎7(a), Section 7(e) or Section 7(f), the Company shall reimburse the Underwriters for all out-of-pocket expenses (including the reasonable fees, disbursements and other charges of counsel to the Underwriter) actually incurred by the Underwriters in connection herewith and as allowed under FINRA Rule 5110 in the amount not to exceed $50,000.

If this Agreement shall be terminated by the Company pursuant to any of the provisions hereof or if for any reason the Company shall be unable to perform its obligations or to fulfill any conditions hereunder, or if the Underwriters Underwriter shall terminate this Agreement pursuant to the last paragraph of Section 5, Section ‎7(a7(a), Section 7(e) or Section 7(f), the Company shall reimburse the Underwriters Underwriter up to $95,000 in the aggregate for all documented out-of-pocket expenses (including the reasonable fees, disbursements and other charges of counsel to the Underwriter) actually incurred by the Underwriters Underwriter in connection herewith and as allowed under FINRA Rule 5110 in the amount not to exceed $50,0005110.
