REIMBURSEMENT OF PLACEMENT AGENT’S EXPENSES. If the sale of the Stock provided for herein is not consummated because any condition to the obligations of the Placement Agent and the Purchasers set forth in Section 6 hereof is not satisfied, because of any termination pursuant to Section 8 hereof or because of any refusal, inability or failure on the part of the Company to perform any agreement herein or comply with any provision hereof other than by reason of a default by the Placement Agent, the Company will reimburse the Placement Agent upon demand for all reasonable out-of-pocket expenses (including reasonable fees and disbursements of counsel) that shall have been incurred by the Placement Agent in connection with this Agreement and the proposed purchase and sale of the Stock and, upon demand, the Company shall pay the full amount thereof to XX Xxxxx.

If the sale of the Stock provided for herein is not consummated consummated, because (a) any condition to the obligations of the Placement Agent Agents and the Purchasers set forth in Section 6 hereof is not satisfied, because (b) of any termination pursuant to Section 8 hereof hereof, or because (c) of any refusal, inability or failure on the part of the Company to perform any agreement herein or comply with any provision hereof other than by reason of a default by the Placement Agenthereof, then the Company will reimburse the Placement Agent Agents upon demand for all reasonable out-of-pocket expenses (including the reasonable fees and disbursements of counselcounsel and any reasonable expenses advanced by the Placement Agents on the Company's behalf) that shall have been incurred by the Placement Agent Agents in connection with this Agreement and the proposed purchase and sale of the Stock and, upon demand, the Company shall pay the full amount thereof to XX Xxxxxthe Representative.

If the sale of the Stock provided for herein is not consummated because any condition to the obligations of the Placement Agent and the Purchasers set forth in Section 6 hereof to be satisfied by the Company is not satisfied, because of any termination pursuant to Section 8 hereof or because of any refusal, inability or failure on the part of the Company to perform any agreement herein or comply with any provision hereof other than by reason of a default by the Placement Agent, the Company will reimburse the Placement Agent upon demand for all reasonable out-of-pocket expenses (including reasonable fees and disbursements of counselcounsel and any expenses advanced by the Placement Agent on the Company’s behalf) that shall have been incurred by the Placement Agent in connection with this Agreement and the proposed purchase and sale of the Stock and, upon demand, the Company shall pay the full amount thereof to XX Xxxxxthe Placement Agent.

If the sale of the Stock Shares provided for herein is not consummated because any condition to the obligations of the Placement Agent and the Purchasers set forth in Section 6 hereof is not satisfied, because of any termination pursuant to Section 8 9 hereof or because of any refusal, inability or failure on the part of the Company to perform any agreement herein or comply with any provision hereof other than by reason of a default by the Placement Agent, the Company will reimburse the Placement Agent upon on demand for all reasonable out-of-pocket expenses (including reasonable fees and disbursements of counsel) that shall have been incurred by the Placement Agent them in connection with this Agreement and the proposed purchase and sale of the Stock and, upon demand, the Company shall pay the full amount thereof to XX XxxxxShares.

If the sale of the Stock provided for herein is not consummated because any condition to the obligations of the Placement Agent Agents and the Purchasers set forth in Section 6 7 hereof is not satisfied, because of any termination pursuant to Section 8 9 hereof or because of any refusal, inability or failure on the part of the Company to perform any agreement herein or comply with any provision hereof other than by reason of a default by the Placement AgentAgents, the Company will reimburse the Placement Agent Agents upon demand for all reasonable out-of-pocket expenses (including reasonable fees and disbursements of counselcounsel and any expenses advanced by the Placement Agents on the Company’s behalf) that shall have been incurred by the Placement Agent Agents in connection with this Agreement and the proposed purchase and sale of the Stock and, upon demand, the Company shall pay the full amount thereof to XX Xxxxxthe Placement Agents.
