REIMBURSEMENT OF PLACEMENT AGENT’S EXPENSES. If this Agreement is terminated by the Placement Agent pursuant to Section 5 or Section 9, or if the sale to the Investors of the Shares on the Closing Date is not consummated because of any refusal, inability or failure on the part of the Company to perform any agreement herein or to comply with any provision hereof, the Company agrees to reimburse the Placement Agent, upon demand, for all out-of-pocket expenses that shall have been reasonably incurred by the Placement Agent in connection with the proposed purchase and the offering and sale of the Shares, including but not limited to reasonable fees and disbursements of counsel, printing expenses, travel and accommodation expenses, postage, facsimile and telephone charges.

If this Agreement is terminated by the Placement Agent Representative pursuant to Section 5 6, or Section 9, 10 or if the sale to the Investors Purchasers of the Shares on the Closing Date is not consummated because of any refusal, inability or failure on the part of the Company to perform any agreement herein or to comply with any provision hereof, the Company agrees to reimburse the Placement AgentAgents, severally, upon demand, demand for all out-of-pocket expenses that shall have been reasonably incurred by the Placement Agent Agents in connection with the proposed purchase and the offering and sale of the SharesUnits, including but not limited to reasonable fees and disbursements of counsel, printing expenses, travel and accommodation expenses, postage, facsimile and telephone charges.

If this Agreement is terminated by the Placement Agent Representative pursuant to Section 5 7 or Section 911, or if the sale to the Investors of the Offered Shares on the Closing Date is not consummated because of any refusal, inability or failure on the part of the Company to perform any agreement herein or to comply with any provision hereof, the Company agrees to reimburse the Placement Agent, Agents upon demand, demand for all reasonable out-of-pocket expenses that shall have been reasonably incurred by the Placement Agent Agents in connection with the proposed purchase and the offering and sale of the Offered Shares, including but not limited to reasonable fees and disbursements of counsel, printing expenses, travel and accommodation expenses, postage, facsimile and telephone charges.

If this Agreement is terminated by the Placement Agent pursuant to Section 5 7 or Section 911, or if the sale to the Investors of the Offered Shares on the Closing Date is not consummated because of any refusal, inability or failure on the part of the Company to perform any agreement herein or to comply with any provision hereof, the Company agrees to reimburse the Placement Agent, Agent upon demand, demand for all reasonable out-of-pocket expenses that shall have been reasonably incurred by the Placement Agent in connection with the proposed purchase and the offering and sale of the Offered Shares, including but not limited to reasonable fees and disbursements of counsel, printing expenses, travel and accommodation expenses, postage, facsimile and telephone charges.
