REIMBURSEMENT OF THE PAYING AGENTS. 7.1 If a Paying Agent other than the Fiscal Agent makes any payment in accordance with this Agreement: (a) it shall notify the Fiscal Agent of the amount so paid by it and the serial number of each Certificate and outstanding amount of each Note in relation to which such payment was made; and (b) the Fiscal Agent shall on demand promptly reimburse such Paying Agent for payments in respect of the Notes properly made by such Paying Agent in accordance with this Agreement and the Conditions unless the Fiscal Agent has notified the relevant Paying Agent, prior to its opening of business on the due date of a payment in respect of the Notes, that the Fiscal Agent does not expect to receive sufficient funds to make payment of all amounts falling due in respect of the Notes. 7.2 If the Fiscal Agent makes any payment in accordance with this Agreement, it shall be entitled to appropriate for its own account out of the funds received by it under clause 4 an amount equal to the amount so paid by it.
