Common use of Reimbursement of the Underwriters’ Expenses Clause in Contracts

Reimbursement of the Underwriters’ Expenses. If, after the execution and delivery of this Agreement, the Shares are not delivered for any reason (other than the default by the Underwriter in its obligations hereunder or the occurrence of any event specified in Section 10(A), 10(C), 10(D) or 10(E)), Holdings shall, in addition to paying the amounts described in Section 7 hereof, reimburse the Underwriter for all of its actual accountable out-of-pocket expenses, including the reasonable fees and reasonable disbursements of its counsel.

Reimbursement of the Underwriters’ Expenses. If, after the execution and delivery of this Agreement, the Shares are not delivered for any reason (other than the termination of this Agreement pursuant to the fifth paragraph of Section 8 hereof or the default by one or more of the Underwriter Underwriters in its or their respective obligations hereunder or hereunder, the occurrence of any event specified in Section 10(A), 10(C), 10(D) or 10(E)), Holdings Company shall, in addition to paying the amounts described in Section 7 4(l) hereof, reimburse the Underwriter Underwriters for all of its actual accountable their out-of-pocket expenses, including the reasonable fees and reasonable disbursements of its their counsel.

If, after the execution and delivery of this Agreement, the Shares are not delivered for any reason (other than the termination of this Agreement pursuant to clause (2) of the second paragraph of Section 9 or the fifth paragraph of Section 10 hereof or the default by one or more of the Underwriter Underwriters in its or their respective obligations hereunder or hereunder, the occurrence of any event specified in Section 10(A), 10(C), 10(D) or 10(E)), Holdings Company shall, in addition to paying the amounts described in Section 7 6(l) hereof, reimburse the Underwriter Underwriters for all of its actual accountable their reasonable out-of-pocket expenses, including the reasonable fees and reasonable disbursements of its their counsel.

If, after the execution and delivery of this Agreement, the Shares are not delivered for any reason (other than the termination of this Agreement pursuant to the sixth paragraph of Section 11 hereof or the default by one or more of the Underwriter Underwriters in its or their respective obligations hereunder or the occurrence of any event specified in Section 10(A), 10(C), 10(D) or 10(E)), Holdings shall, in addition to paying the amounts described in Section 7 hereof, reimburse the Underwriter Underwriters for all of its their actual accountable out-of-pocket expenses, including the reasonable fees and reasonable disbursements of its their counsel.

If, after the execution and delivery of this Agreement, the Shares are not delivered for any reason (other than the termination of this Agreement pursuant to subsection (ii) of the second paragraph of Section 9 hereof or the fifth paragraph of Section 10 hereof or the default by one or more of the Underwriter Underwriters in its or their respective obligations hereunder or hereunder, the occurrence of any event specified in Section 10(A), 10(C), 10(D) or 10(E)), Holdings Manager shall, in addition to paying the amounts described in Section 7 6(b) hereof, reimburse the Underwriter Underwriters for all of its actual accountable their out-of-pocket expenses, including the reasonable fees and reasonable disbursements of its their counsel.

If, after the execution and delivery of this Agreement, the Shares are not delivered for any reason (other than the termination of this Agreement pursuant to the fifth paragraph of Section 8 hereof or the default by one or more of the Underwriter Underwriters in its or their respective obligations hereunder or hereunder, the occurrence of any event specified in Section 10(A), 10(C), 10(D) or 10(E)), Holdings Company shall, in addition to paying the amounts described in Section 7 4(m) hereof, reimburse the Underwriter Underwriters for all of its actual their reasonable and accountable out-of-pocket expenses, including the reasonable fees and reasonable disbursements of its their counsel.

If, after the execution and delivery of this Agreement, the Shares and Warrants are not delivered for any reason (other than the termination of this Agreement pursuant to the fifth paragraph of Section 8 hereof or the default by one or more of the Underwriter Underwriters in its or their respective obligations hereunder or hereunder, the occurrence of any event specified in Section 10(A), 10(C), 10(D) or 10(E)), Holdings Company shall, in addition to paying the amounts described in Section 7 4(l) hereof, reimburse the Underwriter Underwriters for all of its actual accountable their out-of-pocket expenses, including the reasonable fees and reasonable disbursements of its their counsel.

Reimbursement of the Underwriters’ Expenses. If, after the execution and delivery of this Agreement, the Shares are not delivered for any reason (other than the termination of this Agreement pursuant to the fifth paragraph of Section 10 hereof or the default by one or more of the Underwriter Underwriters in its or their respective obligations hereunder or hereunder, the occurrence of any event specified in Section 10(A), 10(C), 10(D) or 10(E)), Holdings Company shall, in addition to paying the amounts described in Section 7 5(k) hereof, reimburse the Underwriter Underwriters for all of its actual accountable their reasonable and documented out-of-pocket expenses, including the reasonable fees and reasonable disbursements of its their counsel.
