REIMBURSEMENT OF UNAUTHORIZED ACTIVITY. If, before the end of the first year following expiration of the term of this Agreement or termination of this Agreement, GM notifies MIS Account in writing that GM believes that MIS Account sold Parts to unauthorized customers or sold unapproved parts (“Unauthorized Activity"), MIS Account agrees to reimburse GM the difference between the price MIS Account paid to GM and GM ’s Dealer price for all Unauthorized Activity throughout the term of this Agreement.
