Common use of Reimbursement to the Fund Clause in Contracts

Reimbursement to the Fund. If in any fiscal year the aggregate expenses of the Fund (including fees pursuant to this Agreement and the Fund's administration agreements, but excluding interest, taxes, brokerage and, if permitted by state securities commissions, extraordinary expenses) exceed the expense limitation of any state having jurisdiction over the Fund, the Adviser will reimburse the Fund for such excess expense. The Adviser's expense reimbursement obligation will be limited to the amount of its fees received pursuant to this Agreement. Such expense reimbursement, if any, will be estimated, reconciled and paid on an annual basis.

If in any fiscal year the aggregate expenses of the Fund Portfolio (including fees pursuant to this Agreement and the FundPortfolio's administration agreements, but excluding interest, taxes, brokerage and, if permitted by state securities commissions, extraordinary expenses) exceed the expense limitation of any state having jurisdiction over the FundPortfolio, the Adviser will reimburse the Fund Portfolio for such excess expense. The Adviser's expense reimbursement obligation will be limited to the amount of its fees received pursuant to this Agreement. Such expense reimbursement, if any, will be estimated, reconciled and paid on an annual a monthly basis.
