Common use of Reinstatement; Liens Clause in Contracts

Reinstatement; Liens. This Pledge and the Obligations and Liens hereunder shall continue to be effective or be reinstated, as the case may be, if at any time payment and performance of the Obligations by Borrower or any other RSH Obligor, or any part thereof (including the receipt of any collateral or proceeds thereof), is, pursuant to applicable law, rescinded or reduced in amount, or must otherwise be restored or returned by any obligee of the Obligations, whether as a "voidable preference," "fraudulent conveyance," or otherwise, all as though such payment or performance had not been made. In the event that any payment, or any part thereof, is rescinded, reduced, restored or returned, the Obligations shall be reinstated and deemed reduced only by such amount paid and not so rescinded, reduced, restored or returned. No Pledgor shall contest or support any other Person in contesting, in any actions or proceedings, the priority or validity of any Lien or other claim in any collateral or other interest granted under any Settlement Document by Borrower, or any other RSH Obligor (including any Pledgor) controlled by Borrower to Collateral Agent, Lender, Cabox-Xxxxxx xx any collateral agent, bailee or escrow agent acting on behalf of Lender or Cabox-Xxxxxx.
