Reinvestment Stockholder’s Qualifications. The Reinvestment Stockholder either alone or with his purchaser representative(s) (as defined in Rule 501(h) of Regulation D promulgated under the Securities Act), has such knowledge and experience in financial and business matters that the Reinvestment Stockholder is capable of evaluating the merits and risks of this prospective investment, has the capacity to protect Reinvestment Stockholder’s own interests in connection with this transaction, and is financially capable of bearing a total loss of the Subject Shares.
