MGP may engage in any merger (including a triangular merger), consolidation or other combination with or into another Person, sale of all or substantially all of its assets or any reclassification, recapitalization or change of outstanding REIT Common Shares (collectively, a “Termination Transaction”) without any consent or approval by the Limited Partners.
