Common use of Rejecting Lenders/Full Assignment Clause in Contracts

Rejecting Lenders/Full Assignment. If (i) any Lenders whose pro rata shares of the Aggregate Commitment do not exceed 25% of the Aggregate Commitment ("Rejecting Lenders") shall not approve an Extension Request, (ii) all rights and obligations of such Rejecting Lenders under this Agreement and under the other Loan Documents (including, without limitation, their Commitment and all Loans owing to them) shall have been assigned, within ninety (90) days following such Extension Request, in accordance with Section 2.23, to one or more Replacement Lenders who shall have approved in writing such Extension Request at the time of such assignment, and (iii) no other Lender shall have given written notice to Administrative Agent of such Lender's withdrawal of its approval of the Extension Request, Administrative Agent shall promptly so notify Borrower and each Lender, and the Facility Maturity Date shall be extended by one (1) year, and in such event Borrower may thereafter request further extension(s) as provided in Section 2.21(a).

If (i) any Lenders whose pro rata shares of the Aggregate aggregate Revolving Credit Commitment do not exceed 25% of the Aggregate Commitment ("Rejecting LendersREJECTING LENDERS") shall not approve an Extension Request, (ii) all rights and obligations of such Rejecting Lenders under this Agreement and under the other Loan Documents and Guaranties (including, without limitation, their Commitment and all Loans owing to them) shall have been assigned, within ninety (90) days following such Extension Request, in accordance with Section 2.232.16, to one or more Replacement replacement Lenders who shall have approved in writing such Extension Request at the time of such assignment, and (iii) no other Lender shall have given written notice to the Administrative Agent of such Lender's withdrawal of its approval of the Extension Request, the Administrative Agent shall promptly so notify the Borrower and each Lender, and the Facility Maturity Scheduled Termination Date shall be extended by one (1) year, and in such event the Borrower may thereafter request further extension(s) as provided in Section 2.21(a2.17(a).

Rejecting Lenders/Full Assignment. If If (i) any Lenders whose pro rata shares of the Aggregate Commitment do not exceed 2566 2/3% of the Aggregate Commitment shall approve an Extension Request but one or more other Lenders ("“Rejecting Lenders"”) shall do not approve an such Extension Request, (ii) all rights and obligations of such Rejecting Lenders under this Agreement and under the other Loan Documents (including, without limitation, their Commitment and all Loans owing to them) shall have been assigned, within ninety (90) days following such Extension Request, in accordance with Section 2.23, to one or more Replacement Lenders who shall have approved in writing such Extension Request at the time of such assignment, and (iii) no other Lender shall have given written notice to Administrative Agent of such Lender's ’s withdrawal of its approval of the Extension Request, Administrative Agent shall promptly so notify Borrower and each Lender, and the Facility Maturity Date shall be extended by one (1) year, and in such event Borrower may thereafter request further extension(s) as provided in Section 2.21(a).
