Relationship Between Parties. Each party will be deemed to represent to the other party on the date on which it enters into a Transaction that (absent a written agreement between the parties that expressly imposes affirmative obligations to the contrary for that Transaction):

Relationship Between Parties. Execution of this Agreement is not intended, nor shall it be deemed, to create a landlord-tenant relationship between the Facility and the Resident.
Relationship Between Parties. (a) Nothing in this agreement:
(i) constitutes a partnership between the parties; or
(ii) except as expressly provided, makes a party an agent of another party for any purpose.
(b) A party cannot in any way or for any purpose:
(i) bind another party; or
(ii) contract in the name of another party.
(c) If a party must fulfil an obligation and that party is dependent on another party, then that other party must do each thing reasonably within its power to assist the other in the performance of that obligation.
Relationship Between Parties. This Agreement does not create a relationship of employment, agency or partnership between the Parties.

Nothing contained herein shall be deemed or construed by the parties hereto nor by any third party, as creating the relationship of employer and employee, principal and agent, partnership, or of a joint venture between the parties hereto, it being understood and agreed that none of the provisions contained herein nor any act of the parties hereto shall be deemed to create any relationship between the parties hereto other than an independent service agreement between the two parties at arm's length.

Neither Party to this Agreement shall have the power to accept purchase orders on behalf of the other, bind the other by any guarantee or representation that it may give, or to incur any debts or liabilities in the name of or on behalf of the other Party. The Parties acknowledge and agree that nothing contained in this Agreement shall be deemed or construed to constitute or create between the Parties hereto a partnership, association, joint venture or other agency.
Relationship Between Parties. The Parties to this Agreement are independent contractors and nothing in this Agreement shall make them joint ventures, partners, employees, agents or other representatives of the other Party hereto. Neither Party shall make any representation that suggests otherwise.
Relationship Between Parties a) This Agreement has been entered into on a principal to principal basis, and neither party hereto shall be considered to be a partner or agent of the other party. The provisions relating to representations and warranties, notices, indemnities, confidentiality, ownership, limitation of liability shall survive the expiration or termination of this Agreement.
b) Nothing in this Agreement shall create or be deemed to create any partnership, joint venture or principal-agent relationship between the Parties and neither party may pledge the credit of the other or make any binding commitment on the part of the other, except as otherwise expressly provided for in this Agreement.
