Common use of Relationship to Credit Agreement Clause in Contracts

Relationship to Credit Agreement. This Agreement is the "SECURITY AGREEMENT" under, and as such term is defined in, the Credit Agreement, and is subject to, and should be construed in accordance with, the provisions thereof. Each of the Bank and the Grantors acknowledges that certain provisions of the Credit Agreement, Sections 1.2 (Principles of Construction), 3.9 (Taxes), 10.1 (Amendments and Waivers), 10.3 (No Waiver; Cumulative Remedies), 10.4 (Survival of Representations and Warranties and Certain Obligations), 10.7 (Counterparts), 10.9 (Construction), 10.10 (Governing Law), 10.11 (Headings Descriptive), 10.12 (Severability), 10.13 (Integration), 10.14 (Consent to Jurisdiction), 10.15 (Service of Process), 10.16 (No Limitation on Service or Suit) and 10.17 (WAIVER OF TRIAL BY JURY) thereof, are made applicable to this Agreement and all such provisions are incorporated by reference herein as if fully set forth herein.

Each of the Bank Administrative Agent, the Guarantor and the Grantors Borrower acknowledges that certain provisions of the Credit Agreement, including, without limitation, Sections 1.2 (Principles of Construction), 3.9 (Taxes), 10.1 11.1 (Amendments and Waivers), 10.3 11.3 (No Waiver; Cumulative Remedies), 10.4 11.4 (Survival of Representations and Warranties and Certain Obligations), 10.7 11.7 (Successors and Assigns), 11.8 (Counterparts), 10.9 11.9 (ConstructionAdjustments; Setoff), 10.10 11.13 (Governing LawHeadings), 10.11 (Headings Descriptive), 10.12 11.14 (Severability), 10.13 11.15 (Integration), 10.14 11.16 (Limitation of Liability), 11.17 (Consent to Jurisdiction), 10.15 11.18 (Service of Process), 10.16 11.19 (No Limitation on Service or Suit) and 10.17 11.20 (WAIVER OF TRIAL BY JURY) thereof, are made applicable to this Agreement and all such provisions are incorporated by reference herein as if fully set forth herein.
